1. Agreement to Terms
By accessing and using the website at https://aventys.ae (“Website”), engaging our business setup, visa, and consultancy services (“Services”), or accessing our white-labeled client portal software (“Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”). If you disagree, you must not use our Website, Services, or Platform.

2. Definitions to our Terms and Conditions

• “Aventys,” “We,” “Us,” “Our” refers to Aventys L.L.C.

• “Client,” “You,” “Your” refers to the individual or legal entity engaging our Services or using our Platform.

• “Services” includes UAE company formation, licensing, visa processing, PRO services, and related consultancy.

• “Platform” refers to the client portal and business management software (powered by SuiteDash technology) provided under the Aventys brand.

• “User Content” refers to any data, files, or information you or your clients upload to the Platform.

3. Our Services & Client Responsibilities for Terms and Conditions

• Scope: We provide expert guidance and liaison with UAE authorities. You acknowledge that ultimate approval for licenses, visas, and other government submissions rests solely with the relevant UAE authorities, and we cannot guarantee specific outcomes or timelines.

• Your Obligations: You agree to provide accurate, complete, and timely information and documentation as required for us to perform the Services. You are responsible for the legality and accuracy of all information you provide.

• Fees & Payment: Fees for Services are as quoted and are exclusive of all government charges, third-party fees, and 5% UAE VAT. Payment terms are typically upfront or as per the issued invoice. Late payments may incur charges or suspension of Services.

• Refunds: Due to the nature of our preparatory and liaison work, fees for commenced Services are generally non-refundable. Specific refund policies may be detailed in your service agreement.

1. Aventys accepts payments via Visa or Mastercard debit and credit cards in AED for its services. All online purchases are regulated by the terms and conditions mentioned hereby and all over the website.
2. Aventys is involved in multiple commercial activities related to business setup in the UAE. The cost involved in business activities is briefly explained in our website but is not limited to being mentioned.
3. Please use the displayed accepted cards on our websites for payments and transactions.
4. Please note that the prices mentioned on our website are in UAE dirhams (AED) and apply to clients within the UAE. Clients outside the UAE must bear costs in their local currency (USD, EUR, etc.).
5. The usage of payment on our website is governed by the laws of the United Arab Emirates. All disputes arising in conflict shall be heard only by a court of competent jurisdiction in the UAE.
6. Payment transactions cannot be made with OFAC-listed countries.
7. Minors under 18 are not allowed to register as a website user and should not transact or use the website.
8. It is essential that you retain a copy of every transaction you make while using the Aventys website.
9. The user is responsible for monitoring and maintaining the confidentiality of their account.

13. Any third-party link, documents, T & Cs, or privacy policy will not apply to the Aventys website.

Refund and Cancellation for Terms and Conditions

1. Aventys has a no-refund policy for the services provided on or off this website. Our refund policy is subject to the payments made for the security deposit for business centres and will be refunded on cancellation or maturation.
2. At Aventys , we have a no-cancellation policy for the services provided on or off this website. However, cancellation is subject to the nature of the services assigned.

4. Acceptable Use of Our Website & Platform for Terms and Conditions

• You agree not to misuse our Website or Platform. Prohibited activities include:

  • Violating any applicable UAE or international laws.

  • Infringing on intellectual property rights.

  • Uploading malicious code or engaging in hacking attempts.

  • Using the Platform to store or process illegal content.

  • Harassing other users or our staff.

• We reserve the right to suspend or terminate your access to the Platform immediately for any breach of these Terms.

5. Intellectual Property for Terms and Conditions

• Our IP: All content on our Website, our Service methodologies, and the underlying software of the Platform (including its white-labeled design) are the property of Aventys or our licensors and are protected by copyright and intellectual property laws.

• Your Content: You retain all rights to the User Content you upload to the Platform. By uploading it, you grant Aventys a limited, worldwide license to host, store, and process this content solely for the purpose of providing the Platform to you. You warrant you have the right to upload all User Content.

6. Limitation of Liability & Disclaimer for Terms and Conditions

• Disclaimer: Our Services are provided “as is.” While we exercise due professional care, we do not warrant that the Services or Platform will be uninterrupted, error-free, or meet all your requirements.

• Limitation: To the fullest extent permitted by UAE law, Aventys, its directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Services, Website, or Platform.

• Maximum Liability: Our total aggregate liability towards you for any claim shall not exceed the total fees you have paid to us for the specific Service giving rise to the claim in the twelve (12) months prior to the claim.

7. Indemnification
You agree to indemnify, defend, and hold harmless Aventys and its affiliates from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms, your use of the Services or Platform, or your violation of any law or third-party rights.

8. Termination
We may terminate or suspend your access to the Platform or our Services immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Platform and Services ceases immediately.

9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Sharjah. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.

10. General Provisions

• Force Majeure: We are not liable for failures due to causes beyond our reasonable control (e.g., natural disasters, government actions, pandemics).

• Severability: If any provision of these Terms is held invalid, the remainder shall remain in full force.

• Amendments: We reserve the right to modify these Terms at any time. Continued use of our Services or Platform after changes constitutes acceptance.

• Entire Agreement: These Terms constitute the entire agreement between you and Aventys regarding the subject matter herein.
